Terms of Service

1. Agreement to Terms

These Terms of Service are entered into between you and Proactive Vigilance LLC, a Maryland limited liability company that operates the ProVigil AI service (collectively, “ProVigil AI”, “we”, “our”, or “us”). By accessing or using ProVigil AI services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

ProVigil AI provides cloud based AI business intelligence services including document analysis, AI search, proactive monitoring, and related features. The specific features available to you depend on your subscription plan (Core, Complete, or Enterprise).

3. Account Registration

To access our services, you must:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be at least 18 years of age or have parental consent

4. Acceptable Use

You agree not to:

• Use our services for illegal purposes
• Attempt to circumvent security measures
• Interfere with the operation of our services
• Upload malicious content or malware
• Violate the rights of others
• Resell or redistribute our services without authorization

5. Device Ownership and Use

For customers who purchase ProVigil Vault hardware:

• The physical device is your property after purchase
• Software licenses are granted for the duration of your subscription
• Tampering with device security may void warranties
• Devices must be used in accordance with applicable laws

6. Your Content

You retain ownership of all content you upload to our services. By using our services, you grant us a limited license to process your content solely for the purpose of providing the services. Your content is stored in our secure cloud infrastructure. For customers with ProVigil Vault hardware, content may also be stored locally on the device.

7. Payment Terms

• Subscription fees are billed in advance
• Device fees are one-time charges due at purchase
• Prices may change with 30 days' notice
• Refunds are subject to our refund policy

8. Termination

Either party may terminate the agreement with 30 days' written notice. We may suspend services immediately for violation of these terms. Upon termination, your access to cloud services will cease, but you retain ownership of your device and locally stored data.

9. Disclaimers

Our services are provided “as is” without warranties of any kind. We do not guarantee that AI responses will be accurate, complete, or suitable for any particular purpose. You are responsible for verifying AI-generated content before relying on it.

10. Limitation of Liability

To the maximum extent permitted by law, ProVigil AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.

11. Indemnification

You agree to indemnify and hold harmless ProVigil AI from any claims, damages, or expenses arising from your use of our services or violation of these terms.

12. Data Processing & Subprocessors

ProVigil AI processes Customer Data in accordance with our Privacy Policy, which includes the current list of subprocessors we rely on to operate the service. We will provide reasonable notice of material changes to our subprocessor list.

Enterprise customers who require a signed Data Processing Addendum (DPA), Business Associate Agreement (BAA), or similar contract may request one by emailing legal@provigilai.com. Our standard DPA template is publicly available for review. Standard subscription terms apply until a DPA is countersigned by both parties.

13. Governing Law

These terms are governed by and construed in accordance with the laws of the State of Maryland, United States, without regard to its conflict of laws principles. Any disputes arising out of or relating to these terms or the ProVigil AI service shall be resolved in the state or federal courts located in Maryland.

14. Changes to Terms

We may update these terms from time to time. Material changes will be communicated to you via email or through our services. Continued use after changes constitutes acceptance of the new terms.
